Bondea is a digital investment platform licensed and supervised by the Bank of Lithuania, offering opportunities to invest in bonds issued by reliable, reputable companies. The platform is designed to be intuitive and convenient for both beginners and experienced investors.

Bonds are debt securities through which an investor provides financing to a company under predefined terms. This means that when you invest, you know exactly how much you will earn and when. Throughout the bond’s term, the investor receives fixed interest payments (coupons), and at maturity the company repays the borrowed amount. Bond investments are direct — they are recorded in your securities account just as they would be in a bank, but the process is much simpler, faster, and free of unnecessary bureaucracy.

Crowdfunding is a modern way of raising funds, where companies attract capital not from a single bank or investor, but from a large number of people through a dedicated digital platform such as Bondea. This model allows companies to reach a wider range of investors, and investors to participate in financing even with smaller amounts. By investing through a crowdfunding platform such as Bondea, people can contribute to real companies or projects, receive a fixed return, and diversify their investments at the same time. The entire process takes place through the platform, is supervised in accordance with European Union regulations, and provides clear conditions for both parties – the company receiving the financing and the investor.

All registered individuals and legal entities who have verified their identity can invest on the platform. Investing can be started with small amounts, making it accessible to anyone who wishes to become an investor.

UAB Bondea is included in the public list of crowdfunding platform operators administered by the Bank of Lithuania, which means its activities are subject to regulatory supervision. The business continuity plan, approved by the Bank of Lithuania, ensures investor protection even in the event of the company's bankruptcy. The plan outlines key risks and the measures that would be implemented if operations were to be suspended.
The Crowdfunding Regulation is a legal framework applicable throughout the European Union, setting uniform rules for crowdfunding platforms. It ensures transparency, investor protection, and allows licensed platforms to operate across the EU under a single license.

Registration process

You can create an account by clicking the “Register” button in the top right corner of the homepage. After filling out a short registration form, you will need to verify your identity and then complete a knowledge and experience test, which will help assess your level of investment knowledge. Once these steps are completed, you will be able to see detailed information about each newly announced project and make investments.

Before you start investing, we need to get to know you a bit better – this helps ensure your safety and allows us to comply with applicable legal requirements. We operate in accordance with the European Crowdfunding Regulation (EU) 2020/1503 and adhere to Lithuanian and international laws related to anti-money laundering (AML) and counter-terrorist financing (CTF).
We follow the Know Your Customer (KYC) principle, which means we ask for some essential information before we can start working together. The entire process is clear, secure, and takes only a few minutes.
You’ll be asked to provide your contact details, and for identity verification we use a reliable technological solution – Ondato. The process is done remotely: you’ll simply need to take a photo of yourself and your ID document, following the provided instructions.
We will also assess your investment experience – if you’re new to investing, we’ll ask a few additional questions about your financial goals, situation, and risk tolerance. This helps us better understand which investment decisions might be most suitable for you.
Finally, we’ll ask a few questions related to opening an e-wallet and a securities account – this is mandatory information required by law for the providers of these services.

For investors

Use of the Bondea platform, including investing and other services provided on the platform, is free of charge – Bondea does not apply any fees.Please note that when withdrawing funds, the electronic money institution UAB “NS PAY”, acting as the e-wallet operator, applies a €1 fee per withdrawal, regardless of the amount withdrawn.Detailed information on applicable fees can be found at the bottom of the page in the Documents section, in the document titled “Fees Applicable to Platform Users”.

You can monitor the balance of your available funds in your personal electronic wallet linked to the virtual electronic money institution UAB NS Pay. UAB NS Pay is authorized and regulated by the Bank of Lithuania (license No. 97, 2024.05.14), company code 305652931.
The Bank of Lithuania's regulations require UAB NS Pay to keep customer funds in separate accounts with credit institutions, thus ensuring quick refunds.

You can top up your e-wallet in two ways – via online banking or by bank transfer.
Top-ups via online banking are credited immediately after payment, while bank transfers may take some time.
We will notify you of received funds by email.
Topping up the e-wallet in the NS Pay system is free for investors, except when the payment is made via SWIFT instead of SEPA. More information can be found in the NS Pay Fees section.

To withdraw funds from your e-wallet, you can do so in the E-wallet section of your account by clicking the Withdraw button. In the list of accounts, you will see the account from which you topped up your e-wallet. Select the account and initiate the withdrawal. A withdrawal fee of €1 will apply.
To withdraw funds to an account other than the one used for investment, you must link it in advance. An account can be linked by topping up the e-wallet via online banking (minimum €50) or by making a bank transfer (minimum €1). After the top-up, the specified account will automatically be added to the list of available withdrawal accounts.
Important! From the moment you initiate the withdrawal from the e-wallet, it may take 12–36 hours for the funds to reach your account. Withdrawals are processed only on business days.

Experienced Investor – an investor who understands the risks associated with investing in capital markets and possesses the necessary resources to assume such risks without suffering significant financial consequences.
The following individuals or legal entities are considered experienced investors:

1. Legal entities that meet at least one of the following criteria:
  • Own resources of no less than EUR 100,000;
  • Net turnover of no less than EUR 2,000,000;
  • Total balance sheet of no less than EUR 1,000,000.
2. Natural persons who meet at least two of the following criteria:
  • Personal gross income of no less than EUR 60,000 per fiscal year, or a financial instruments portfolio exceeding EUR 100,000, consisting of cash deposits and financial assets;
  • The investor works, or has worked for at least one year in the financial sector, in professional positions requiring knowledge of the intended transactions or services, or the investor has held a managerial position for at least 12 months in a legal entity as described in point 1;
  • In the past four quarters, the investor has executed an average of 10 large transactions per quarter in capital markets.

A non-experienced investor is an investor who does not meet the criteria of an experienced investor. According to the Crowdfunding Regulation, we are required to distinguish between experienced and non-experienced investors.
An investor is considered non-experienced if they have limited knowledge or experience related to investment services. Such investors can still use the Bondea platform and make investments, but they must be prepared to assume the risks associated with investing.
Additional protection measures apply to non-experienced investors, such as a 4-day reflection period during which they may cancel their investment.

If you are a non-experienced investor, after signing the agreement you are granted a 4-day reflection period during which you will have the option to cancel your investment.
If you are an experienced investor, once the bond purchase agreement is signed through the platform, the investment can no longer be canceled. The invested amount will only be returned upon the maturity of the bonds, as specified in the information document.

The reflection period is the time during which a non-experienced investor can change their mind and cancel their investment, reclaiming the full invested amount.
This period begins from the date of the investment in the project and lasts for four calendar days. If multiple investments are made in the same project, the reflection period is calculated from the date of the first investment. You can reclaim your invested funds in your account by going to the Reserved Investments section and clicking the Cancel button. Once this period has ended, the investment can no longer be canceled – funds will only be returned upon the maturity of the bonds.

A securities account is a special account where the securities you own, such as bonds, are held.
When investing through the Bondea platform, you do not need to have a securities account in advance. The bonds you purchase via the platform will be held in a securities account managed by our partner, Axiology DLT – a licensed brokerage firm. The securities account will be opened automatically at the time of your investment, and opening or maintaining it will not cost you anything.

If you are a Lithuanian tax resident, the interest you earn is treated as B-class income. You are entitled to a €500 annual tax-free allowance (from all investments, not only on the Bondea platform). Any amount exceeding this limit is taxed at 15% personal income tax (if annual interest does not exceed 120 average monthly salaries) or 20% (if it does). You must declare this income in your annual tax return (Form GPM308). Bondea reports the relevant income information to the Lithuanian tax authority (VMI) on your behalf.
If you are a foreign tax resident, we withhold 15% personal income tax from your interest income. You are still required to declare this income in your country of tax residence. If a double taxation treaty exists between Lithuania and your country, additional taxation may be avoided. Foreign residents must provide their local tax authority with information about interest income earned in Lithuania.

From 2025, Lithuania has implemented the investment account (IA) regime, which allows deferring the payment of personal income tax (PIT) until the profit is withdrawn from the account. This regime is particularly suitable for long-term investing. Investment accounts can be used by permanent residents of Lithuania. An IA can be any separately accounted bank or payment institution account, used exclusively for investments and declared to the State Tax Inspectorate (VMI) (for the first time in 2026 for 2025).
When investing in bonds, the investment account regime applies only when investing through crowdfunding platforms, so investing via the Bondea platform allows you to benefit from this tax regime. To have your investments on Bondea treated under the IA regime, funds must be transferred from your investment account. The Bondea wallet, managed by our payment operator NS Pay, is not considered an investment account, so withdrawals must be returned to the same investment account from which the funds were originally deposited.

Register at www.bondea.lt, choose a project and enter your desired amount. After clicking "Invest", enter the promo code in the investment confirmation window. Once the project becomes active, the promo code amount will be returned to your e-wallet.

Investing and project evaluation

First, we assess the reputation of both the project owner and the project itself – it is important for us that it is impeccable. Next, we analyze the financial situation: the financial standing of the project and its owner, credit history, type of activity, market conditions, and submitted financial forecasts.  During the evaluation, we use both internal analysis and a credit rating calculator, which helps determine the project’s risk level. One of the most important criteria is that the debt-to-asset ratio does not exceed 75%.  Based on this data, each project is assigned a risk score and rating, which are clearly indicated next to each project on the platform. Generally, lower-risk and shorter-term projects come with lower returns, while higher-risk projects have greater potential returns. Such risk assessment allows investors to better understand their risk tolerance and choose the most suitable project.

Our financing experts carefully select and evaluate the projects published on the Bondea platform, but the assessments, ratings, or other project-related information provided should not be considered investment advice. Even investments secured with collateral carry risks – including liquidity risk or the risk of capital loss. Therefore, they should only be part of a diversified investment portfolio. By investing, you assume all risks associated with investments. More details about risks can be found in the “Documents” section.

The LTV (Loan-to-Value) ratio indicated for each crowdfunding project shows the relationship between the total debt and the value of the pledged collateral. The lower the ratio, the lower the risk for investors, as the value of the asset exceeds the total amount of issued bonds.
If the bond issuer (the issuer) fails to meet their obligations, a low LTV increases the likelihood that the sale of the pledged asset will cover the full amount invested by bondholders. 

If the project owner fails to repay the investment on time, late payment interest is calculated according to the terms set out in the bond agreement. The accrued interest is later paid to the investor and is subject to a 15% personal income tax.

Yes, you can open an account in Bondea on behalf of the company. 

You can invest in a single crowdfunding project on the Bondea platform starting from €500 or €1000. There is no maximum investment limit, and there is no restriction on the number of projects you can invest in.

Before you start investing, you first need to create an account on the Bondea platform. Only after verifying your identity and answering the provided questions will an electronic wallet be created for you. Once you top it up, you will be able to start investing.
In the Projects section, review the active projects and choose the one that suits you best. Enter the amount you wish to invest (it must not be lower than the minimum investment amount) and click “Continue.” You will then be redirected to a window where you will find all the necessary agreements – financing, securities account opening, etc.
As soon as you make an investment, the corresponding amount in your e-wallet will be reserved until the full funding required for the project is collected. Interest calculation will begin from the issue effective date, which is specified in the project-related document.

Once logged into the Bondea crowdfunding platform, you can always view a summary with key information about your selected project in the "My Investments" section of your investor account. Detailed project information is available in the project description. You will be notified by email about any important updates or additions to the project information.

The return on investment is calculated as a percentage of your invested amount, taking into account the project financing period. For example, if you invest €1,000 in a project with an annual return of 9%, the return is calculated on the basis of the €1,000 invested. After one year, your profit would be €90, and the total amount returned would be €1,090.
The annual return on the project is always indicated on each project card.

Interest payments are made according to the schedule specified in the contract – this can be quarterly, semi-annually, annually, or at the end of the term. The principal invested amount is returned at the end of the project (the duration of each project is indicated – 12, 24 months, or other).

Individuals who are residents of Lithuania are subject to personal income tax (PIT) on interest income exceeding 500 euros. If annual interest does not exceed 120 average monthly salaries, a 15% rate applies; for amounts above this threshold, a 20% rate is applied.
Interest earned from investments on the platform must be reported in your annual income tax declaration. In addition, the operator of “Bondea” will provide the State Tax Inspectorate (VMI) with information on investors’ income earned through the platform during the calendar year. This income and the applicable PIT will appear in your tax declaration, so you will only need to verify that the amounts are correctly reflected, including the 500 euros allowance applied according to your individual situation.

One of the most common reasons for unsuccessful investments is insufficient funds in your account. You can top up your e-wallet via online banking or bank transfer. You can make the payment by logging into your account and going to the E-wallet section.

Investment protection and risk

If the project does not reach the minimum required amount, it will not be funded. The Bondea platform does not have access to your funds – until the project is approved, your investment amount is simply reserved in an NS PAY account. If the project is not approved, the reservation is cancelled and the funds remain in your account.

The Bondea crowdfunding platform is regulated by the Bank of Lithuania, and its business continuity plan has been approved accordingly. This plan ensures that investors would not be negatively affected even in the event of the company's bankruptcy. It identifies key risks and outlines the actions and measures that would be taken if a decision is made to cease Bondea’s operations.

The security of invested funds is ensured through various loan collateral measures such as real estate mortgages, personal guarantees, and others. These measures are specified individually for each investment project and may vary.

First, projects are selected with great care – we aim to offer investors only those projects where their funds are as secure as possible.
Second, an additional layer of security is provided by pledged assets or shares. This acts as a guarantee: even if the company faces financial difficulties, investors have a high likelihood of recovering their invested funds.
Third, investors’ interests are protected by a trustee, who ensures that the issuer properly fulfills its obligations.
Finally, bond ownership is recorded in each investor’s securities account. This means that even if the crowdfunding operator ceases operations, the connection between the issuer and the investor remains intact – the ownership of the investment stays protected and officially registered.

If the issuer fails to meet its obligations, a breach of contract is recorded. The situation is then assessed to determine whether it represents:
  • a temporary liquidity issue, or
  • a structural problem (insolvency).
At the initial stage, out-of-court actions are undertaken, such as:
  • negotiating possible payment deferrals,
  • applying increased interest rates for investors.
If the issuer does not settle its obligations on time, the role of the trustee is activated. Acting in the interests of investors of the specific issuance, the trustee, together with the platform operator, initiates actions aimed at recovering investors’ funds.If obligations cannot be fulfilled through amicable means, a forced recovery process is initiated. During forced recovery, the pledged collateral is realized, and once funds are successfully recovered, they are distributed to creditors (including investors) in accordance with the pledge and contractual priority order.We would also like to emphasize that we work only with developers of good reputation and make every effort to ensure that our investors do not encounter such situations.

For project owners

Projects financed on the Bondea crowdfunding platform have a term ranging from 12 to 24 months. The Loan-to-Value (LTV) ratio – the maximum financing amount for a loan secured by mortgage/pledge – must not exceed 80% LTV. For unsecured loans, the financing amount must not exceed a debt-to-equity ratio of 3x (i.e., the unsecured loan in the project cannot be more than three times the project’s equity).

The required investment amount for a project can typically be raised within approximately 2 weeks.

Each project will have a minimum funding threshold. Once this threshold is reached, the project is considered successfully funded and will proceed to implementation. If the minimum amount is not raised within the specified timeframe, all funds will be returned to users e-wallets.

Only legal entities can apply for funding. They are required to complete identification and submit all necessary documents. When evaluating projects, we assess the creditworthiness of the project owners and their companies, as well as the project’s business plan. Only after completing these formalities can a legal entity be registered on the platform.

When applying for financing, you are generally asked to provide the main financial data for the past few years, information about equity and liabilities, as well as a preliminary repayment scheme for investors. A more detailed list of required documents will be provided once you apply for financing.

Common reasons why identification may fail on the first attempt:
  • The ID document was photographed incorrectly (e.g., part of the document is not visible or the image is blurry).
  • Insufficient lighting during the photo.
  • Other people were present in the frame during the photo.
